Forecast Timetable for Completion of the Proposed Combination with OCI N.V.

Orascom Construction PLC (ADX and EGX: ORAS) announces the forecast timetable for completion of its proposed combination with OCI N.V. ("OCI") (the "Combination").

Orascom Construction’s shareholders approved the Combination on 22 January 2026, and no further approval from them is required for completion. OCI’s shareholders approved the Combination on 30 October 2026.

Orascom Construction expects the Combination to be completed in December 2026, in line with the timetable below. The timetable is based on current estimates and remains subject to change, as certain steps depend on third parties and on the timing of receipt of the required regulatory approvals.
